We need certain limited rights to operate the Service and the programs you choose to participate in, but uploading Content does not transfer ownership of your Content or underlying intellectual property to ESCAPE.AI.These Terms explain those rights, how ESCAPE.AI may process and distribute Content, how creator-specific outputs are treated, when revenue sharing applies, how AI-related uses are handled, and what happens when Content is withdrawn or an account is terminated.Creator Rights Principles
  • Creators retain ownership of their Content and underlying intellectual property.
  • Uploading Content does not transfer ownership to ESCAPE.AI.
  • ESCAPE.AI receives only a limited, non-exclusive license needed to operate the Service and authorized distribution, promotional and monetization programs.
  • ESCAPE.AI may sublicense only the limited rights reasonably necessary to authorized service providers, distributors, streaming services, connected television providers, promotional partners and similar parties.
  • When ESCAPE.AI receives revenue attributable to participating Creator Content or a Creator-Specific Output, the creator receives the applicable disclosed share.
  • Ordinary uploading or use of the Service does not automatically authorize Generalized Model Training.
  • Creators may withdraw Content and end future uses, subject to a reasonable wind-down for existing distribution, advertising, legal, technical, accounting and payment obligations.
  • Backup or archival retention does not create a right to begin new public, commercial, derivative or AI-training uses.
These principles are part of these Terms and should be used to interpret the provisions below.1. IntroductionThank you for using the ESCAPE.AI platform and the products, services and features made available through it (collectively, the “Service”). The Service is an AI-powered content platform that enables users to upload, discover, watch, listen to, create, generate, modify, enhance, distribute and interact with video, audio, graphics, photos, text and other media.By creating an account, accessing or using the Service, you agree to these Terms of Use and the policies incorporated into them (together, the “Agreement”). If you do not agree to the Agreement, do not use the Service.We have tried to make these Terms readable. Some legal provisions necessarily use specific language, but the basic allocation of rights is straightforward: creators keep their Content and Creator IP; ESCAPE.AI owns its technology; and ESCAPE.AI receives only the limited rights described in these Terms to provide the Service and programs you choose to use.2. Our ServiceThe Service allows users to upload, discover, watch, listen to, generate, modify, enhance and share Content. It may provide tools for content recommendation, editing, dubbing, lip synchronization, localization, clipping, formatting, up-resing, distribution, connected television delivery, analytics and monetization. It may also provide artificial intelligence and machine learning features that help creators work with their Content.The Service may be accessible through websites, mobile applications, televisions, game consoles, connected television devices and other supported platforms. Features may vary by account type, location, device or program.3. Your Service ProviderThe entity providing the Service is ESCAPE AI, LLC, a Delaware limited liability company located at 651 North Broad Street, Suite 201, Middletown, DE 19709 (“ESCAPE.AI,” “Escape,” “we,” “us” or “our”). References to our “Affiliates” mean entities that control, are controlled by, or are under common control with ESCAPE.AI.4. Other Terms and PoliciesYour use of the Service is also subject to our Community Guidelines, Acceptable Use Policy, Copyright Policy, Privacy Policy, U.S. State Privacy Addendum and, where applicable, Data Processing Agreement and Advertising Policies. Those policies are incorporated into this Agreement and are available atIf a specific monetization, distribution, advertising, enterprise or creator program has additional written terms, those program terms will apply to that program. If there is a conflict, the more specific program terms control only with respect to that program, but they will not be interpreted to transfer ownership of Creator Content unless the creator expressly agrees to that transfer in a separate written agreement.5. Who May Use the Service5.1 Age RequirementsYou must be at least 13 years old to use the Service in the United States, or the minimum age required in your jurisdiction if that age is higher. The Service is not directed to children below the applicable minimum age.5.2 Parent or Guardian PermissionIf you are under 18, or under the age of majority where you live, you represent that you have permission from a parent or legal guardian to use the Service. A parent or guardian who allows a minor to use the Service agrees to be responsible for the minor’s use of the Service to the extent permitted by law. Our handling of children’s personal information is described in our Privacy Policy.5.3 Businesses and OrganizationsIf you use the Service on behalf of a company, production company, agency, brand, organization or other entity, you represent that you have authority to bind that entity to this Agreement.6. Defined TermsFor clarity, the following terms are used throughout this Agreement:
  • “Content” means video, audio, music, sound, graphics, photos, text, scripts, comments, branding, interactive materials, metadata and other materials made available through the Service.
  • “Creator Content” means Content that you or someone acting on your behalf uploads, submits or otherwise provides to the Service.
  • “Creator IP” means the intellectual property and other rights you own or control in or relating to Creator Content, including copyrights, trademarks and, where applicable, rights in name, image, voice, likeness and publicity.
  • “Creator-Specific Output” means an output, edit, enhancement, variation or other result generated or created through the Service specifically for a creator and based materially on that creator’s Content, instructions, likeness, voice, data or other Creator IP.
  • “Creator-Specific Data” means data, metadata, annotations, embeddings, profiles or datasets created specifically from or specifically associated with an identifiable creator or that creator’s Content.
  • “Operational Processing” means processing reasonably necessary to provide, secure, maintain and operate the Service or a feature or program you use, including hosting, storage, encoding, transcoding, moderation, safety review, search, recommendation, content matching, analytics, fraud prevention, quality control, localization, dubbing, formatting, distribution and payment administration.
  • “Generalized Model Training” means training, fine-tuning or developing a generalized generative AI or machine-learning model intended for use across creators, customers or applications, rather than processing required to provide a creator-requested feature or other Operational Processing.
  • “Participating Content” means Creator Content or Creator-Specific Outputs enrolled, selected or otherwise included in an authorized monetization, distribution, promotional or partner program.
  • “Authorized Partner” means a third party that provides services to ESCAPE.AI or participates in an authorized program, such as a cloud provider, distributor, streaming service, connected television provider, content delivery network, localization provider, payment processor, advertising partner or promotional partner.
7. Content on the ServiceContent is the responsibility of the person or entity that provides it. ESCAPE.AI is not required to host or continue serving any particular Content. Content may be provided by creators, ESCAPE.AI or third parties, and ownership will depend on who created or supplied that Content and the rights applicable to it.If you believe Content violates this Agreement, applicable law or your rights, you may report it using the processes described in the “Copyright, DMCA and Content Removal” section or our reporting tools.8. Accounts and Creator ProfilesSome parts of the Service may be available without an account. Other features, including uploading Content, creating a Creator Profile, commenting, bookmarking, subscribing, monetizing Content or using certain AI tools, may require an account.You are responsible for activity under your account and for keeping account credentials secure. Do not share your password or reuse it in a way that creates an unreasonable security risk. You must provide accurate account, tax and payment information when required for a program.9. Privacy and Personal InformationOur Privacy Policy explains how we collect, use, disclose and protect personal information. Where required, additional data-processing terms may apply to enterprise, business or international users.The rights you grant in Creator Content under these Terms do not override privacy, data-protection, biometric, publicity or other rights that cannot lawfully be waived. If Creator Content includes personal information, biometric information or other regulated data, you remain responsible for obtaining any permissions required for your upload, and ESCAPE.AI will process such information in accordance with applicable law and our Privacy Policy.10. Your Use of the ServiceYou may access and use the Service as it is made available to you, provided you comply with this Agreement and applicable law. You may view or listen to Content for personal, non-commercial use except where a feature or applicable program expressly allows broader use.Unless expressly authorized by the Service, a rights holder or applicable law, you may not:
  • copy, download, reproduce, distribute, transmit, broadcast, display, sell, license, alter or otherwise use Content belonging to another person outside the features and permissions provided by the Service;
  • circumvent, disable, fraudulently engage with or interfere with security features, access controls, usage limits or technical protections;
  • access the Service through unauthorized automated means, including bots, scrapers or crawlers, except as permitted by our robots.txt file, an applicable API agreement or our written permission;
  • collect or harvest personal information, faces, voiceprints or biometric information without appropriate permission and legal authority;
  • send spam, unsolicited bulk messages or unwanted commercial solicitations;
  • artificially manipulate views, ratings, subscriptions, engagement metrics or revenue events;
  • misuse reporting, appeals, complaints or dispute processes;
  • run contests, promotions or advertising activities that do not comply with applicable program rules;
  • sell advertising or sponsorships on, around or within the Service except through features or programs expressly authorized by ESCAPE.AI; or
  • reverse engineer, extract source code from or attempt to discover non-public components of the Service except where applicable law expressly permits it.
11. Acceptable Use PolicyYou may not use the Service to:
  • upload, share or promote Content that is illegal, threatening, abusive, harassing, defamatory, obscene, hateful, discriminatory or otherwise prohibited by our Community Guidelines or applicable law;
  • infringe or violate intellectual property, privacy, publicity, contractual or other rights;
  • hack, phish, distribute malware, conduct unauthorized penetration testing or compromise the security or integrity of the Service;
  • use the Service for high-risk activities where failure could reasonably be expected to cause death, serious bodily injury or significant physical or environmental harm;
  • process biometric identifiers, voiceprints or similar regulated data without the permissions and legal basis required by law;
  • scrape, crawl or extract data beyond what we expressly permit;
  • engage in fraud, impersonation, deception or material misrepresentation;
  • create or distribute unlawful synthetic media, deepfakes or impersonations in violation of applicable law or our policies; or
  • violate applicable export-control or sanctions laws.
Violations may result in Content removal, loss of monetization privileges, account restrictions, suspension or termination.12. No Ownership Rights from Using the ServiceUsing the Service does not give you ownership of the Service, ESCAPE Technology, another user’s Content, another person’s name or identity, or any other rights not expressly granted in this Agreement. Similarly, ESCAPE.AI does not obtain ownership of Creator Content or Creator IP merely because you use the Service.13. Creator Content and Ownership13.1 You Keep Your ContentAs between you and ESCAPE.AI, you retain all ownership rights you have in Creator Content and Creator IP. Uploading, submitting, processing or distributing Creator Content through the Service does not transfer ownership of that Content or Creator IP to ESCAPE.AI.You may use your Creator Content elsewhere, license it to others, remove it from ESCAPE.AI or stop participating in a program, subject to the wind-down provisions described below.13.2 Your Responsibility for Creator ContentYou are legally responsible for Creator Content you provide. You represent and warrant that you own or control the rights necessary to provide the Content to ESCAPE.AI and to grant the limited rights described in these Terms, and that the authorized use of the Content will not violate applicable law or the rights of another person.If Creator Content includes third-party music, footage, artwork, trademarks, performances, voices, likenesses or other protected material, you are responsible for obtaining the permissions necessary for the uses you authorize through the Service.14. Limited License to ESCAPE.AIBy providing Creator Content to the Service, you grant ESCAPE.AI a worldwide, non-exclusive license to use, reproduce, host, store, cache, encode, transcode, process, analyze, display, perform, technically modify, promote, distribute and monetize that Creator Content only as reasonably necessary to:
  1. operate, maintain, secure and provide the Service;
  2. provide features and functionality you request or use;
  3. perform Operational Processing;
  4. format, encode, enhance, translate, caption, dub, lip-sync, resize, crop, clip, up-res, create thumbnails from, or otherwise technically adapt Creator Content for display, accessibility, promotion or distribution;
  5. promote your Creator Content, your Creator Profile, the Service or an authorized program in which your Content participates;
  6. distribute or make Participating Content available through ESCAPE.AI, Authorized Partners, streaming services, connected television services, social distribution, syndication or other authorized distribution channels; and
  7. monetize Participating Content in accordance with the applicable monetization terms and revenue-sharing provisions.
This is a limited license, not a transfer of ownership. The license is “royalty-free” only in the sense that ESCAPE.AI does not owe a separate license fee merely to host, process or operate the Service. It does not eliminate or reduce any creator payment, revenue share or other compensation required under an applicable monetization, distribution or partner program.Except where you separately authorize it, this license does not give ESCAPE.AI an unrestricted right to exploit Creator Content for unrelated purposes, sell ownership of Creator Content, or use Creator Content for Generalized Model Training.15. Authorized Partners and Limited SublicensingESCAPE.AI may sublicense the limited rights described above to Authorized Partners only to the extent reasonably necessary for those parties to provide services to ESCAPE.AI or participate in an authorized program involving your Content.Authorized Partners may include cloud and hosting providers, content delivery networks, distributors, streaming platforms, connected television providers, social platforms, localization and dubbing providers, payment processors, measurement providers, advertising partners, promotional partners and other service providers supporting the Service.Any sublicense is limited to the rights reasonably necessary for the applicable service or program. A sublicense does not give an Authorized Partner ownership of Creator Content. ESCAPE.AI will not sublicense Creator Content for unrelated commercial exploitation or Generalized Model Training unless separately authorized in accordance with these Terms or applicable program terms.16. License to Other UsersWhen you make Creator Content available to other users through the Service, you grant those users a non-exclusive license to access and use that Content only through the features you enable or the Service makes available, such as playback, sharing, embedding, commenting or creator-authorized remix tools.This license does not give other users a general right to download, sell, license, train AI models on, commercially exploit or create derivatives from Creator Content outside the Service unless you separately authorize that use or applicable law allows it.17. Operational Processing and AI17.1 Operational ProcessingESCAPE.AI may perform Operational Processing of Creator Content as reasonably necessary to provide, secure, maintain, improve and administer the Service and the features or programs you choose to use. This may include automated or human-assisted analysis for moderation, infringement detection, safety, search, recommendation, quality control, technical performance, localization, formatting, distribution, fraud prevention, analytics and payment administration.17.2 Operational Processing Is Not Generalized Model TrainingOperational Processing is different from Generalized Model Training. The fact that ESCAPE.AI analyzes or processes Creator Content to provide a requested feature, recommend Content, detect abuse, create a creator-requested edit or operate an authorized distribution program does not, by itself, mean the Content has been authorized for Generalized Model Training.17.3 Generalized Model Training Requires Separate AuthorizationUploading Creator Content or merely using the Service does not automatically authorize ESCAPE.AI to use that Content for Generalized Model Training.If ESCAPE.AI offers a program or feature that uses Creator Content for Generalized Model Training, ESCAPE.AI will provide additional information about the proposed use and obtain any separate authorization, opt-in or other consent required under the applicable program and applicable law. Participation in such a program may be subject to separate terms, benefits or compensation.A creator’s decision not to authorize Generalized Model Training will not, by itself, transfer ownership of Creator Content or prevent the creator from using ordinary Service features that do not reasonably require that training authorization. Some optional AI features may be unavailable if they technically depend on separately authorized uses, and we will identify those limitations where applicable.17.4 Aggregated and De-Identified InformationESCAPE.AI may use aggregated, statistical or de-identified information that does not identify a creator and does not reproduce or make available Creator Content to understand usage, measure performance, improve security, develop general product insights and improve the Service, subject to applicable law and our Privacy Policy.18. Creator-Specific OutputsAs between you and ESCAPE.AI, you own the rights, if any, that are available under applicable law in Creator-Specific Outputs generated or created for you through the Service, subject to any third-party rights that may apply.ESCAPE.AI does not claim ownership of a Creator-Specific Output merely because ESCAPE Technology, AI tools, models, templates or processing were used to create it.If a Creator-Specific Output includes or is based on third-party material, the output remains subject to those third-party rights. You are responsible for evaluating whether you have the rights necessary for your intended use of the output.If you choose to distribute or monetize a Creator-Specific Output through ESCAPE.AI, you grant ESCAPE.AI the same limited rights in that output that apply to Participating Content under Sections 14 and 15 for the duration of that participation and any permitted wind-down period.19. ESCAPE Technology and Generalized TechnologyESCAPE.AI and its licensors retain all right, title and interest in the technology used to provide the Service, including software, source code, systems, interfaces, models, model architecture, algorithms, workflows, tools, templates, methods, know-how, processing pipelines and generalized technology (“ESCAPE Technology”).ESCAPE.AI may own generalized models, algorithms, systems, improvements and technology developed through lawful use of information and technology, provided that such ownership does not transfer to ESCAPE.AI ownership of Creator Content, Creator IP, Creator-Specific Outputs or Creator-Specific Data.No creator acquires ownership of ESCAPE Technology merely by using the Service, and ESCAPE.AI does not acquire ownership of Creator Content merely because ESCAPE Technology processes it.20. Creator-Specific DataTo the extent rights in data or datasets can be owned under applicable law, ESCAPE.AI does not claim ownership of Creator-Specific Data merely because it is generated, stored, analyzed or processed through the Service. The creator retains the rights the creator has in the underlying Creator Content and Creator IP.ESCAPE.AI may use Creator-Specific Data as reasonably necessary for Operational Processing, creator-requested features, authorized programs, security, fraud prevention, reporting, accounting, legal compliance and payment administration.Creator-Specific Data will not be used for Generalized Model Training merely because it exists on or was created through the Service. Any such use is subject to the Generalized Model Training provisions above.21. Developing and Improving the ServiceESCAPE.AI may change, improve, update or discontinue features of the Service from time to time. We may use Operational Processing, aggregated information, de-identified information, feedback, performance data and other information we are permitted to use to maintain and improve the Service and ESCAPE Technology.We will not treat general language about improving the Service as an unlimited license to use Creator Content for Generalized Model Training or unrelated commercial exploitation.If we make a material change that materially reduces a creator’s rights in Creator Content, materially expands the permitted use of Creator Content, changes Generalized Model Training permissions, or materially changes an applicable revenue-share program, we will provide reasonable advance notice except where immediate action is required for security, fraud prevention or legal compliance.22. Monetization and Creator Payments22.1 General PrincipleWhen ESCAPE.AI receives revenue directly attributable to Participating Content, the applicable creator will receive the revenue share disclosed for the program through which that revenue is earned.ESCAPE.AI will not rely on the limited license in these Terms as an unrestricted right to monetize Creator Content or Creator-Specific Outputs without applying the compensation terms of the applicable authorized monetization or distribution program.22.2 Standard Creator Revenue ShareUnless different terms are clearly disclosed and accepted for a particular program, ESCAPE.AI will remit to the creator seventy percent (70%) of Net Revenues directly attributable to monetized Participating Content and will retain thirty percent (30%).22.3 Net Revenues“Net Revenues” means gross amounts actually received by ESCAPE.AI that are directly attributable to the applicable Participating Content, less payment processing fees, app-store or marketplace fees, refunds, chargebacks, applicable taxes and reasonable third-party distribution, delivery or transaction costs directly associated with those receipts.22.4 PaymentsUnless program terms provide otherwise, payouts will be made monthly within 30 days after the end of the applicable month, subject to minimum payout thresholds, valid payment instructions, KYC/AML verification, tax documentation and reasonable fraud or compliance holds. ESCAPE.AI may offset negative balances, refunds, chargebacks and amounts attributable to confirmed fraud or material violations of this Agreement.22.5 Creator-Specific OutputsIf ESCAPE.AI receives revenue directly attributable to a Creator-Specific Output participating in an authorized monetization program, the creator will receive the applicable disclosed revenue share for that program. Creator-Specific Outputs will not be treated as automatically free for ESCAPE.AI to monetize without creator compensation merely because the Service helped create them.23. Connected Television and Pooled Distribution ProgramsIf ESCAPE.AI licenses, syndicates or distributes Participating Content through a connected television (“CTV”) provider or other pooled distribution program, seventy percent (70%) of Net Revenues actually received by ESCAPE.AI from that program will be allocated to participating creators whose Content is included in the applicable revenue pool, unless different terms are clearly disclosed and accepted for that program.ESCAPE.AI will disclose the methodology used to allocate the creator pool. That methodology may reasonably consider viewing, engagement, Content contribution, distribution value or other program-specific metrics. ESCAPE.AI will provide a statement with payments showing the applicable allocation or calculation methodology.24. Promotion and MarketingWhile Creator Content is available on the Service or participates in an authorized program, ESCAPE.AI may use reasonable excerpts, thumbnails, titles, creator names, handles, channel names and approved branding to identify, market and promote the Content, creator, Service or applicable program.This promotional right is part of the limited license and ends for materially new promotional uses when the underlying Content is withdrawn, subject to the wind-down provisions below. Nothing in this section transfers ownership of a creator’s name, image, likeness, trademark or other Creator IP to ESCAPE.AI.25. Removing or Withdrawing Creator Content25.1 Your Right to Remove ContentYou may remove Creator Content from public display on the Service or request that ESCAPE.AI discontinue future distribution or monetization of that Content, subject to any specific program terms you separately accepted.25.2 No Materially New Uses After a Valid WithdrawalAfter ESCAPE.AI receives and processes a valid withdrawal request, ESCAPE.AI will not begin materially new public, commercial, derivative or Generalized Model Training uses of the withdrawn Content unless you separately authorize the new use.25.3 Reasonable Wind-DownExisting uses may continue for a reasonable wind-down period where necessary to remove Content from distributors and Authorized Partners, complete advertising or promotional campaigns already in progress, honor existing distribution commitments, process payments, reconcile accounting, prevent fraud, address disputes, comply with law or complete reasonable technical removal processes.ESCAPE.AI will use commercially reasonable efforts to complete the wind-down promptly and generally within 90 days, except where a longer period is reasonably necessary because of an existing contractual commitment, a third-party platform’s technical process, a legal requirement, a dispute or another circumstance outside ESCAPE.AI’s reasonable control.25.4 Payments During Wind-DownCreators remain entitled to the applicable revenue share on revenue earned from Participating Content during an authorized wind-down period, even if payment is received after the Content has been removed from public display.25.5 Copies You Should KeepYou should keep your own copies of Creator Content. ESCAPE.AI is not a permanent archive and does not guarantee that Content will remain available for download after deletion or termination.26. Archived and Backup CopiesESCAPE.AI may retain archival or backup copies of withdrawn or deleted Creator Content where reasonably necessary for disaster recovery, cybersecurity, legal compliance, audit, accounting, fraud prevention, payment administration, or the establishment, exercise or defense of legal claims.Retention of an archived or backup copy does not authorize ESCAPE.AI to begin a new public display, distribution, monetization, derivative creation or Generalized Model Training use of that Content.Backup and archival copies will be deleted, overwritten or de-identified in accordance with ESCAPE.AI’s ordinary retention practices and applicable legal requirements. Where data is subject to a legal hold or other mandatory retention requirement, it may be retained for the period required by law.27. Removal of Content by ESCAPE.AIESCAPE.AI may restrict, remove or disable access to Content if we reasonably believe it violates this Agreement, our policies, applicable law or third-party rights; creates a material security, fraud or safety risk; or could expose ESCAPE.AI, users or third parties to material harm or liability.Where reasonably practicable and legally permitted, we will provide notice of the reason. We may withhold or limit notice if notice would violate law or a lawful government request, compromise an investigation, create a security risk or cause harm. Where required by applicable law, we will provide an appeal process.28. Copyright, DMCA and Content RemovalESCAPE.AI respects intellectual property rights and responds to valid copyright notices under the Digital Millennium Copyright Act (“DMCA”). To report alleged copyright infringement, contact our designated DMCA agent at:We maintain a policy addressing repeat infringement and may terminate accounts of users who repeatedly infringe copyrights or other intellectual property rights. Additional details are available in our Copyright Policy. You may report non-copyright violations through our reporting tools.29. Account Suspension and Termination29.1 Termination by YouYou may stop using the Service at any time and may delete your account using the available account tools. Account deletion does not eliminate obligations or payment rights that arose before deletion and is subject to the wind-down, archival and legal-retention provisions in these Terms.29.2 Suspension or Termination by ESCAPE.AIESCAPE.AI may suspend, restrict or terminate your account if you materially or repeatedly violate this Agreement or our policies; if required by law, court order or government request; if necessary to protect the Service, users or third parties; or if we reasonably believe your conduct creates a material fraud, security, safety or legal risk.29.3 Notice and AppealsWhere reasonably practicable and legally permitted, we will provide the reason for a suspension or termination and information about any available appeal process. We may limit notice for the same reasons described in Section 27.29.4 Effect of TerminationWhen an account is terminated or deleted, the limited licenses granted to ESCAPE.AI end for future uses except to the extent reasonably necessary for:
  • the permitted wind-down of existing authorized distribution, promotion, advertising and monetization activities;
  • archival or backup retention permitted under Section 26;
  • security, fraud prevention, legal compliance, accounting, audit, dispute resolution or payment obligations;
  • rights and obligations that arose before termination; and
  • aggregated or de-identified information that no longer identifies the creator and does not reproduce or make available Creator Content.
Termination does not eliminate a creator’s right to receive amounts properly earned before termination or during an authorized wind-down period.30. Software and Technology in the Service30.1 Downloadable SoftwareIf the Service includes downloadable software, ESCAPE.AI grants you a personal, non-transferable, non-exclusive, revocable license to use that software solely to access and use the Service in accordance with this Agreement. You may not copy, sell, lease, distribute, reverse engineer or extract source code except where applicable law permits it or ESCAPE.AI authorizes it in writing.30.2 Open Source SoftwareSome components may be offered under open-source licenses. The applicable open-source license will control to the extent it conflicts with these Terms.30.3 Beta FeaturesWe may offer beta, preview or experimental features. Those features may change or be discontinued and may be less reliable than generally available features. Additional beta terms may apply.31. FeedbackIf you voluntarily provide ideas, suggestions or feedback about the Service, you grant ESCAPE.AI a perpetual, worldwide, non-exclusive, royalty-free license to use that feedback to improve, develop and commercialize the Service and ESCAPE Technology without compensation or attribution.This feedback license applies to ideas and suggestions about ESCAPE.AI and does not convert Creator Content, Creator IP or Creator-Specific Outputs into feedback.32. User Representations and WarrantiesYou represent and warrant that:
  • you have the right and authority to enter into this Agreement;
  • you own or control the rights necessary to provide Creator Content and authorize the uses you select through the Service;
  • Creator Content and your use of the Service will not knowingly violate applicable law or third-party intellectual property, privacy, publicity or contractual rights;
  • you have obtained required permissions for people, performances, music, brands or other protected materials included in Creator Content; and
  • information you provide for account, tax, payment and compliance purposes is accurate in all material respects.
33. Audit and Monetization IntegrityESCAPE.AI may review Content, view counts, traffic, engagement and revenue events reasonably necessary to administer monetization programs, verify compliance, prevent fraud and calculate creator payments. If an audit or review identifies material discrepancies, invalid traffic, fraud, chargebacks or a material violation of this Agreement, ESCAPE.AI may withhold, offset or recover affected payments to the extent reasonably related to that issue.Audit rights do not expand ESCAPE.AI’s license to Creator Content or authorize Generalized Model Training.34. AI-Generated Content DisclaimerArtificial intelligence and machine learning systems may produce inaccurate, incomplete, unexpected, offensive or non-unique outputs. ESCAPE.AI does not guarantee the accuracy, originality, copyrightability, non-infringement or suitability of any AI-generated or AI-assisted output.You are responsible for reviewing outputs before using or publishing them and for determining whether your intended use complies with applicable law and third-party rights.35. Warranty DisclaimerTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” OTHER THAN EXPRESS COMMITMENTS IN THIS AGREEMENT OR RIGHTS THAT CANNOT BE DISCLAIMED BY LAW, ESCAPE.AI MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR SUITABLE FOR A PARTICULAR PURPOSE, OR THAT CONTENT OR AI-GENERATED OUTPUTS WILL BE ACCURATE, AVAILABLE, NON-INFRINGING OR FIT FOR YOUR INTENDED USE.36. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESCAPE.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, ANTICIPATED SAVINGS OR DATA, ARISING FROM OR RELATING TO THE SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESCAPE.AI’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT ESCAPE.AI PAID TO YOU IN CONNECTION WITH THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $500.These limitations do not apply to liability that cannot lawfully be limited or excluded. Nothing in this section limits ESCAPE.AI’s obligation to pay creator revenue shares properly due under an applicable program.37. IndemnityTo the extent permitted by applicable law, you agree to defend, indemnify and hold harmless ESCAPE.AI, its Affiliates, officers, directors, employees and agents from third-party claims, damages, liabilities, costs and reasonable attorneys’ fees arising from:
  • Creator Content you provide that infringes or violates third-party rights;
  • your material breach of this Agreement;
  • your unlawful or unauthorized use of the Service; or
  • your fraud, willful misconduct or material misrepresentation.
This indemnity does not apply to the extent a claim results from ESCAPE.AI’s use of Creator Content outside the rights granted under this Agreement, ESCAPE.AI’s unauthorized Generalized Model Training, or ESCAPE.AI’s own fraud, willful misconduct or material breach of this Agreement.38. Dispute Resolution and Arbitration38.1 Informal Resolution FirstBefore filing arbitration or litigation, you and ESCAPE.AI agree to make a good-faith effort to resolve the dispute informally for at least 30 days after written notice of the dispute. Notices to ESCAPE.AI should be sent to [email protected] and the address in Section 45.38.2 Arbitration AgreementExcept for disputes that qualify for small claims court, requests for temporary or preliminary injunctive relief, or claims primarily concerning ownership or infringement of intellectual property rights, disputes arising out of or relating to this Agreement or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules or other rules applicable to the dispute.Arbitration may be conducted remotely where permitted by the applicable rules. If an in-person hearing is required, the location will be determined under the applicable AAA rules and mandatory law. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision to the extent applicable.38.3 Arbitration Opt-OutYou may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days after you first accept these Terms. Your notice must include your name, the email address associated with your account and a clear statement that you are opting out of arbitration. Opting out of arbitration does not affect the other provisions of this Agreement.38.4 Class Action WaiverTO THE EXTENT PERMITTED BY LAW, YOU AND ESCAPE.AI AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION. If applicable law does not permit this waiver for a particular claim or remedy, that claim or remedy will proceed in the forum required by law.38.5 Fees and CostsArbitration filing and administrative fees will be allocated under the applicable AAA rules and mandatory law. Each party will otherwise bear its own attorneys’ fees and costs unless the arbitrator or applicable law provides otherwise.39. Export Controls and SanctionsYou may not use the Service in violation of applicable U.S. or other export-control and sanctions laws. You represent that you are not prohibited from receiving the Service under applicable trade restrictions. ESCAPE.AI may restrict access where reasonably necessary to comply with law.40. AssignmentESCAPE.AI may assign this Agreement in connection with a merger, reorganization, acquisition, financing, sale of assets or similar transaction, or to an Affiliate. An assignment of this Agreement does not itself transfer ownership of Creator Content beyond the limited rights granted under these Terms. You may not assign this Agreement without ESCAPE.AI’s written consent, except where applicable law provides otherwise.41. Force MajeureESCAPE.AI will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, power or internet failures, cloud or telecommunications outages, cyberattacks or failures of third-party infrastructure, provided that this section does not excuse payment obligations for revenue already properly earned and payable.42. Third-Party Services and LinksThe Service may contain links to or integrations with third-party websites, platforms and services that ESCAPE.AI does not own or control. Those third parties may have separate terms and privacy policies. ESCAPE.AI is not responsible for third-party services except to the extent required by applicable law or an express written commitment by ESCAPE.AI.43. Changes to the ServiceWe may modify, add or discontinue features of the Service. Where a material change materially reduces core functionality of a paid Service, we will provide reasonable notice where practicable, except where immediate changes are reasonably necessary for security, fraud prevention, legal compliance or protection of users.44. Changes to These TermsWe may update these Terms to reflect changes to the Service, business practices, law, regulation, security needs or program structure. The current version will be made available through the Service.If a change materially affects creator ownership, materially expands ESCAPE.AI’s license to Creator Content, authorizes a new category of Generalized Model Training, or materially changes a creator revenue share, we will provide reasonable advance notice before the change takes effect, except where immediate changes are required by law or necessary to address an urgent security or abuse issue.A change to these Terms will not be interpreted to retroactively authorize Generalized Model Training of Creator Content where separate authorization was required and was not obtained. If you do not agree to updated Terms, you may stop using the Service and withdraw your Content, subject to the wind-down provisions above.45. NoticesLegal notices to ESCAPE.AI should be sent to: Legal Notices, ESCAPE AI, LLC, 651 North Broad Street, Suite 201, Middletown, DE 19709, USA, and by email to [email protected].Notices to you may be provided through the Service, your account dashboard or the email address associated with your account. You are responsible for keeping your account contact information current.46. General Legal Terms46.1 Entire AgreementThis Agreement, together with any applicable program terms and policies incorporated by reference, constitutes the agreement between you and ESCAPE.AI concerning the Service and supersedes prior agreements on the same subject matter, except for separate written agreements that expressly state they remain in effect.46.2 SurvivalWhen your use of the Service ends, provisions that by their nature should survive will remain in effect, including accrued payment obligations, ESCAPE Technology ownership, warranties and representations relating to previously supplied Content, limitation of liability, dispute resolution, legal-retention rights and other provisions necessary to give effect to the permitted wind-down. The limited Content license does not survive indefinitely except for the specific wind-down, archival, legal, accounting and security purposes expressly described in these Terms.46.3 SeverabilityIf any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable where permitted by law.46.4 No WaiverIf either party does not immediately enforce a provision of this Agreement, that does not waive the right to enforce it later.46.5 InterpretationHeadings are for convenience only. “Including” means “including without limitation.” Where these Terms use examples, they are illustrative rather than exhaustive. Nothing in these Terms limits rights or consumer protections that cannot lawfully be waived.47. Governing LawExcept to the extent mandatory law provides otherwise, this Agreement and disputes arising from it will be governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. For claims not subject to arbitration, you and ESCAPE.AI consent to the jurisdiction of the state and federal courts located in Delaware, subject to any venue or consumer-protection rights that cannot lawfully be waived.48. Limitation on Legal ActionTo the maximum extent permitted by applicable law, any claim arising out of or relating to the Service must be commenced within one (1) year after the claim accrued. This provision does not shorten a limitations period where applicable law prohibits doing so.49.
